BYLAWS OF THE NATIVE PLANT SOCIETY OF TEXAS--SAN ANTONIO CHAPTER
The name of the organization shall be Native Plant Society of Texas—San Antonio Chapter, also known as NPSOT—SA.
Article II. Purpose of the Chapter.
The purpose of the Chapter shall be to further the goals of the Society, provide interesting activities, promote projects of interest, and provide opportunity for members to participate in the administration of the Society.
The conditions and rights of membership in the Chapter shall be as specified by the bylaws of the Society.
There shall be no divisions within the Chapter.
The assessment of dues is a function of the Society. No additional assessment of dues will be made by the Chapter. Activity fees may be charged to individuals participating in outings, parties, or projects sponsored by the Chapter.
Article IV. Chapter Officers
The elected officers of the Chapter shall be a President, a Vice-President, a Secretary and a Treasurer. These shall serve following the Annual Chapter Meeting in September for one year. The President appoints all other officials except the Nominating Committee, which shall be appointed by the Executive Board.
These duties shall be as defined in the bylaws of the Society.
Shall record the major actions at each regular, special and Executive Board meeting, particularly every motion, result of voting, appointments, and recognition of awards, or commitment of funds. Shall present these minutes at the next similar meeting for approval. Shall assist the President in any correspondence involving the business of the Chapter.
Shall maintain the accounts of the Chapter and provide financial statements as required by the State and Chapter Executive Boards.
Shall arrange for speakers, or other programs, and the location for same on schedules approved by the Executive Board. Shall provide timely notification of these to the Publicity and Newsletter Committee Chairperson.
Shall arrange for field trips, or other outdoor activities, in appropriate locations, and on schedules approved by the Executive Board. Shall provide timely notice of these at regular meetings and to the Publicity Committee Chairperson.
Shall provide timely, appropriate notices to the area media sources, the Native Plant Society of Texas News, and cooperating local societies, associations and clubs sharing the interests of the Society.
Shall organize Chapter support for State membership programs, develop goals for membership development, make applications available at Chapter events, and monitor membership lists.
Shall gather, edit and arrange for printing, labeling and mailing the Chapter Newsletter as authorized by the Executive Board.
Shall collect copies of minutes, committee reports, proceedings, photographs, publications of the Chapter and maintain them in good order.
Shall be named by the Executive Board (excluding the President). Shall consist of one member of Executive Board and two members not having committee duties. Shall provide nominee(s) at the August meeting for election at the Chapter Annual Meeting in September for Chapter President for the following year.
The President shall, upon authorization of the Executive Board, make other appointments such as Parliamentarian, Other committees, etc.
All officers shall transfer their complete files to their successor upon termination of their term.
Article V. Annual Chapter Meeting
Shall be scheduled by the Executive Board, not later than the September meeting of each year, as appropriate for Chapter voting participation in State operations, including distribution and receipt of ballots.
The presence of five percent of Chapter members shall constitute a quorum.
Article VI. Chapter Executive Board
The voting members of the Executive Board shall be President, Secretary, Treasurer, and Chairpersons of the Programs, Outings, Publicity, and Membership Committees.
Shall implement the policies of the Society and authorize specific procedures, including the disbursement of funds, by Chapter officials.
There shall be at least one meeting quarterly at the call of the President or of a majority of the Board.
A quorum shall be a majority of the members of the Executive Board and may be by telephone or correspondence.
Article VII. Standing and Special Committees
These committees shall be as cited in Article IV, Section 2.
Article VIII. Parliamentary Authority
The rules in the newest edition of ‘Robert's Rules of Order, Newly Revised' shall govern the Chapter in all cases to which they are applicable and when not inconsistent with these Bylaws or any special order the Society, or Chapter may adopt.
Article IX. Chapter Bylaws
The State bylaws shall take precedence over any conflicting provisions within the Chapter bylaws.
Article X. Method of Amending Bylaws
These bylaws may be amended by two-thirds of the votes cast at a regular or annual meeting, provided that written notice of each amendment is submitted at least 30 days in advance by mail or submission at a regular meeting.
Article XI. Dissolution Clause
Any dissolution of the Chapter shall be by, and under the rules of the State Bylaws.

HISTORY OF REVISIONS
January 23, 2007: Article IV. Chapter Officers, Section 1. Titles of Chapter Officers, was revised to provide for the election of a vice-president, a secretary, and a treasurer. Previously only the president had been elected.
